Terms of Service
Effective Date: February 11, 2026
Welcome to Dromo. These Terms of Service ("Terms") are a legally binding agreement between you ("you" or "user") and Dromo LLC, a Delaware limited liability company ("Dromo," "we," "our," or "us"). These Terms govern your access to and use of the Dromo mobile application and all related services, features, and content (collectively, the "Services").
By creating an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Services.
1. Eligibility
To use the Services, you must be at least 16 years old in the European Economic Area (EEA) or at least 13 years old in the United States and other jurisdictions where the minimum age of digital consent is 13. You must provide your date of birth at registration. By using the Services, you represent and warrant that you meet the applicable minimum age requirement and that you have the legal capacity to enter into these Terms.
If we learn that a user does not meet the applicable age requirement, we will terminate the account and delete the associated personal data.
2. Your Account
You must create an account to use the Services. You agree to provide accurate, current, and complete information during registration and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must notify us immediately if you suspect unauthorized access to or use of your account. We are not liable for any losses resulting from unauthorized use of your account where you have failed to safeguard your credentials.
You may not create more than one account, share your account with others, or transfer your account to another person without our prior written consent.
3. The Services
Dromo is a mood-and-location-based discovery platform that helps users find restaurants, activities, and experiences. The Services include personalized recommendations based on your activity preferences and location, search functionality, the ability to save places, write reviews and trip notes, participate in groups, and other features we may introduce.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to notify you of material changes that affect your use of the Services.
4. User Content
4.1 Ownership
You retain ownership of the content you create and post through the Services, including reviews, trip notes, group posts, photos, and other materials ("User Content"). However, by posting User Content, you grant Dromo the rights described below.
4.2 License Grant to Dromo
By posting or sharing User Content on or through the Services, you grant Dromo a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your User Content, in connection with operating and providing the Services and promoting Dromo. This license exists for as long as your User Content is hosted on the Services and for a reasonable period after deletion to account for backup and caching processes.
For User Content that you share publicly (such as reviews, which are published anonymously), this license continues even after you delete your account or the content, to the extent that the content has already been shared, distributed, or cached.
Nothing in these Terms restricts other legal rights Dromo may have to User Content, for example under other licenses.
4.3 Your Responsibilities for User Content
You represent and warrant that:
- You own or have the necessary rights and permissions to post your User Content and to grant the license above.
- Your User Content does not violate the rights of any third party, including intellectual property rights, privacy rights, or publicity rights.
- Your User Content does not contain material that is unlawful, defamatory, obscene, harassing, threatening, or otherwise objectionable.
- You have obtained the consent of any identifiable individuals appearing in your User Content.
4.4 Right to Remove Content
We reserve the right, but have no obligation, to monitor, review, or remove User Content at our sole discretion, including content that we believe violates these Terms, our policies, or applicable law.
5. Prohibited Conduct
You agree not to:
- Use the Services for any unlawful purpose or in violation of these Terms.
- Post content that is false, misleading, defamatory, obscene, threatening, harassing, or that promotes violence or discrimination.
- Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
- Collect, harvest, or scrape data from the Services, including user information, by automated or manual means without our prior written consent.
- Use bots, scripts, crawlers, or other automated tools to access or interact with the Services.
- Attempt to gain unauthorized access to the Services, other accounts, or our systems and networks.
- Interfere with or disrupt the integrity or performance of the Services.
- Circumvent, disable, or otherwise interfere with any security features of the Services.
- Use the Services to send spam, bulk messages, or unsolicited communications.
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our express written permission.
- Upload or transmit viruses, malware, or any other malicious code.
- Post false or fraudulent reviews, ratings, or information about venues.
We reserve the right to investigate and take appropriate action against any user who, in our sole discretion, violates this section, including removing content, issuing warnings, suspending or terminating accounts, and reporting conduct to law enforcement authorities.
6. Paid Features and Subscriptions
6.1 General
Dromo offers certain premium features available through paid subscription plans ("Paid Features"). By purchasing a subscription, you agree to the terms of this section in addition to the rest of these Terms.
6.2 Billing and Payment
All purchases of Paid Features are processed through the Apple App Store or Google Play Store (each, an "App Store"). Payment is handled entirely by the applicable App Store. By purchasing a subscription, you agree to the payment terms and conditions of the applicable App Store. We do not directly collect or process your payment information.
Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You can manage your subscription and cancel auto-renewal through your App Store account settings. Cancellation takes effect at the end of the current billing period; you will retain access to Paid Features until that period ends.
6.3 Refunds
Refunds are handled by the applicable App Store in accordance with its refund policies. Dromo does not directly issue refunds. If you believe you are entitled to a refund, contact Apple or Google through their respective support channels.
6.4 AI Agent Access
Subscribers may receive access to an automated software agent ("AI Agent") that generates recommendations using proprietary ranking models, behavioral signals, and third-party machine learning infrastructure.
Usage Measurement. Access to the AI Agent is subject to consumption tracking based on metrics including volume of processing activity, quantity of model input/output data processed, and number of agent requests executed. We reserve the right to define, modify, and apply these measurement methods for purposes including enforcing usage limits, pricing, abuse prevention, and service stability. These measurements are internal operational metrics and are not guaranteed to correspond to externally visible units.
Access Controls. Use of the AI Agent is governed through authentication credentials issued by the platform. We may restrict frequency of access, restrict concurrent usage, prioritize or deprioritize traffic, and suspend access during abnormal activity. These controls are applied automatically and may vary by subscription tier.
Service Tier Differentiation. Subscribers may be routed to different processing environments based on plan level. This can include differences in model capability, response depth, processing limits, and performance characteristics. We may change the underlying infrastructure at any time without altering the feature classification.
6.5 Offline Place Download Capability
Subscribers may download structured datasets of location information for offline access within the application ("Offline Data"). Offline Data is licensed, not sold.
Data Packaging. Downloaded datasets are delivered in protected bundles that may include integrity verification or authentication mechanisms designed to detect modification, prevent redistribution, and validate entitlement. You receive a limited right to use these datasets only within the authorized application environment.
Expiration. Offline datasets may contain embedded validity periods after which access may be restricted, refresh may be required, or revalidation may occur. This ensures data accuracy and subscription compliance.
Device Restriction. Downloaded data may be cryptographically or technically bound to the authorized user environment or device. Transfer to other environments may render the data inaccessible.
Download Limits. We may impose limits on the number of downloads, dataset size, and frequency of export. These limits may vary by subscription tier and may change over time.
6.6 Changes to Paid Features
We reserve the right to modify, adjust, or discontinue Paid Features at any time. If we materially reduce the functionality of a Paid Feature during your active subscription period, you may cancel your subscription for a prorated refund through the applicable App Store. Price changes will apply to the next billing cycle after notice is provided.
7. Intellectual Property
7.1 Dromo's Rights
The Services, including all software, algorithms, models, designs, text, graphics, logos, trademarks, and other content provided by Dromo ("Dromo Content"), are owned by or licensed to Dromo and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, lease, or create derivative works based on Dromo Content, except as expressly permitted by these Terms.
7.2 Venue and Business Content
Photographs and other content depicting businesses and venues displayed within the Services are owned by the respective businesses or their licensors. You may not reproduce, distribute, or use such content outside the Services without the express permission of the rights holder.
7.3 Feedback
If you provide us with suggestions, ideas, feedback, or other input regarding the Services ("Feedback"), you grant Dromo an irrevocable, perpetual, royalty-free, worldwide license to use, modify, and incorporate that Feedback into the Services or any other product or service without obligation to you.
8. Third-Party Services
The Services may integrate with or contain links to third-party websites, applications, or services. Your use of any third-party service is governed by that third party's terms and privacy policy. We are not responsible for the content, accuracy, or practices of third-party services and do not endorse them.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DROMO DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing:
- We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
- We do not warrant the accuracy, completeness, or reliability of any content, recommendations, or information provided through the Services, including venue information, ratings, or availability.
- We do not warrant that AI-generated recommendations or outputs will be accurate, appropriate, or free from errors.
- We are not responsible for the quality, safety, legality, or suitability of any venue, restaurant, activity, or experience recommended or displayed through the Services.
You acknowledge that you use the Services at your own risk and that any reliance on recommendations, venue information, or other content is at your sole discretion.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DROMO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF DROMO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DROMO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO DROMO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY LIABILITY THAT CANNOT BE EXCLUDED BY LAW.
11. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Dromo and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services.
- Your User Content.
- Your violation of these Terms.
- Your violation of any third-party rights, including intellectual property, privacy, or publicity rights.
- Any activity conducted through your account.
12. Termination
You may terminate your account at any time by deleting it through the app settings. Upon termination, your right to use the Services ceases immediately.
We may suspend or terminate your account or access to the Services at any time, with or without cause or notice, including if we reasonably believe that you have violated these Terms. If we terminate your account for cause, you are not entitled to a refund of any subscription fees.
Upon termination:
- Your license to use the Services terminates immediately.
- We will delete your personal data in accordance with our Privacy Policy.
- Any Offline Data on your device will become inaccessible.
- Anonymized content (such as published reviews) may persist as described in our Privacy Policy.
Sections that by their nature should survive termination will survive, including Sections 4.2 (License Grant), 7 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 13 (Governing Law and Disputes), and 15 (General Provisions).
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
13.2 Jurisdiction
You and Dromo agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction and venue of such courts.
13.3 EEA, UK, and Swiss Residents
If you are a consumer resident in the EEA, the UK, or Switzerland, nothing in this section deprives you of the benefit of mandatory consumer protection provisions of the law of your country of residence. You retain the right to bring proceedings in the courts of your country of residence. For residents of the EU, you may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
13.4 Informal Resolution
Before initiating any formal legal proceeding, you agree to first contact us at legal@dromo.app and attempt to resolve the dispute informally for at least thirty (30) days. Most disputes can be resolved without formal proceedings.
14. Changes to These Terms
We may revise these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms within the app and, where appropriate, via email or push notification at least thirty (30) days before the changes take effect.
Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services and delete your account.
15. General Provisions
- Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Dromo regarding the Services and supersede all prior agreements.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
- Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
- Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights, except as expressly provided.
- Force Majeure. We are not liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or failures of third-party services.
- Notices. We may send notices to you via email, push notification, or through the Services. Notices to Dromo must be sent to legal@dromo.app.
- Electronic Communications. By using the Services, you consent to receiving communications from us electronically, and you agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
16. App Store Terms
If you download or use the Services through the Apple App Store or Google Play Store, the following additional terms apply:
- These Terms are between you and Dromo, not with Apple Inc. or Google LLC. Dromo, not Apple or Google, is solely responsible for the Services.
- Apple and Google have no obligation to provide maintenance, support, or warranty services for the Services.
- In the event of any failure of the Services to conform to applicable warranties, you may notify the applicable App Store provider, and they may refund the purchase price (if any). To the maximum extent permitted by law, the App Store provider has no other warranty obligation with respect to the Services.
- Apple and Google are not responsible for addressing any claims by you or third parties relating to the Services, including product liability claims, regulatory compliance claims, or intellectual property claims.
- Apple and Google and their subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the Services, and may enforce these Terms against you as a third-party beneficiary.
- You represent that you are not located in a country subject to a U.S. government embargo or that has been designated by the U.S. government as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
